SanDisk Corporation reported a strong fiscal first quarter and raised its fiscal second-quarter outlook. The company also announced an 8-for-1 forward stock split, setting the timing for split-adjusted trading and reshaping per-share comparability ahead of the new fiscal period.

Quarter Results, Guidance, and Stock Split

SanDisk reported fiscal first-quarter 2027 revenue of $11.03 billion for the period ended October 2, 2026, with non-GAAP diluted earnings of $49.51 per share, the company said in a press release on October 29. It forecast fiscal second-quarter revenue between $12.2 billion and $12.6 billion and non-GAAP diluted net income of $55.00 to $57.00 per share on a pre-split basis. The company noted that per-share figures do not reflect the announced 8-for-1 split.

Management said SanDisk began fiscal 2027 with strong performance, driven by robust demand and outpaced growth in its data-center business. Chief Executive David Goeckeler said the company is delivering growing and durable free cash flow through technology leadership, deep customer partnerships, and disciplined financial management.

The company announced the 8-for-1 forward stock split to make shares more accessible, including through its employee stock purchase plan, and to improve per-share comparability after the split. Shareholders of record at the close of business on November 9, 2026, will receive seven additional shares for each share held. The additional shares are scheduled for issuance after market close on November 19, with split-adjusted trading expected to begin at market open on November 20 under the existing ticker symbol SNDK.

The stock split requires an amendment to SanDisk’s certificate of incorporation to increase authorized common shares from 450 million to 3.6 billion. This amendment, along with the record and issuance dates, governs how the company will deliver the additional shares and accommodate employee-plan allocations.

"We are executing on the strategy that we outlined at Investor Day, delivering growing and durable free cash flow through our technology leadership, deep customer partnerships, and disciplined financial management," Goeckeler said in the earnings release.
