SpaceX lockup expiration on Aug. 20, 2026 made a calendar-based Day-70 tranche of previously restricted insider shares eligible for trading, extending downward pressure on SPCX as markets assess demand ahead of larger scheduled releases into 2026–2027.
Aug. 20 Unlock Expands Tradable Float
On Aug. 20, a calendar-based Day-70 tranche made up to 319 million previously restricted shares held by current and former employees and early investors eligible for trading. This release equals about 2.4% of total shares outstanding and roughly 7% of insider shares subject to lockup, expanding the tradable float by approximately 20%.
SpaceX completed its June IPO on Nasdaq at $135 per share. The first major post-IPO unlock on Aug. 6 freed roughly 911–912 million restricted shares, increasing the tradable pool from under 5% to more than 12% of outstanding stock. The second tranche pushed shares below the IPO price and extended the stock’s decline.
Market observers note that legal eligibility to sell does not guarantee immediate sales, citing complex ownership structures, affiliate resale limits, and other rules that can delay when unlocked shares reach the market. Early tranches serve as initial tests of investor appetite ahead of larger scheduled unlocks.
Lockup Schedule and Business Mix
SpaceX’s IPO prospectus established a staggered post-IPO lockup with multiple calendar-based and earnings-linked tranches to avoid a single large release of restricted shares. Affiliate blocks face additional resale limits under securities regulations.
Upcoming unlocks include a Sept. 9 tranche of about 319 million shares, a Sept. 10 affiliate block, and Sept. 24, Oct. 9, and Oct. 24 tranches of roughly 328.4 million shares each. One of the largest events is an approximately 1.3 billion-share release timed with Q3 2026 earnings in early November. A 180-day expiry on or around Dec. 8 will free roughly 798 million conditional shares that failed a performance test. Together with earlier tranches, about 4.9 billion shares could be unlocked by the end of 2026 and roughly 12.9–13.0 billion by mid-2027, equal to about 88% of approximately 13 billion shares outstanding.
Elon Musk’s founder stake, about 6.4 billion shares or roughly 42% of the company, remains subject to a separate one-year lockup through June 12, 2027, preserving his control position.
SpaceX’s Q2 2026 disclosures show revenue concentrated in connectivity and artificial intelligence (AI). Connectivity revenue was $4.3 billion with operating income of $1.6 billion; AI revenue was $2.6 billion; and space-division revenue totaled $960 million. Year-over-year growth was 32.0% for connectivity, 350.0% for AI, and 29.0% for the space division. Capital spending reached $18.4 billion, including $15.8 billion on AI compute infrastructure, highlighting a strong capital allocation toward AI and connectivity (Starlink).
The prospectus schedule sets additional calendar and earnings-tied tranches through late 2026 and into 2027.
