MNTN disclosed on November 4, 2026, that third-quarter revenue fell short of prior guidance, citing sales-compensation changes that triggered widespread departures among quota-carrying sellers. The following day, multiple law firms launched securities-law inquiries into the company’s disclosures.

Third-Quarter Results, Guidance, and Operational Challenges

MNTN reported third-quarter revenue of $80.3 million for the three months ended September 30, 2026, a 15% increase year-over-year but below its prior outlook of $86 million to $89 million. The company presented adjusted EBITDA of about $20 million for the quarter. CFO Patrick Pohlen attributed the shortfall to “unforeseen execution problems” in the go-to-market organization, while CEO Tony Weisman linked the slowdown primarily to decisions within the sales team that caused elevated attrition among experienced quota-carrying sellers.

Management said it communicated compensation changes to employees in late second quarter and implemented them at the start of the third quarter, before reaffirming prior guidance in August. The company disclosed that roughly 40% of experienced quota-carrying sellers left following these changes, which it connected to impaired new-customer acquisition.

MNTN lowered its full-year 2026 revenue guidance to $311 million to $314 million from a prior range of $347 million to $357 million. It issued fourth-quarter revenue guidance of $75 million to $78 million and adjusted EBITDA guidance of $8 million to $10 million. The revised outlook assumes ongoing disruption in the fourth quarter as the go-to-market organization realigns and new sellers ramp up. The adjusted EBITDA guidance includes additional nonrecurring general and administrative expenses related to executive personnel changes. Management described the revised full-year range as roughly 10% year-over-year growth at the midpoint, excluding the impact of a prior divestiture.

To address these challenges, MNTN said it corrected compensation plans, hired 16 new sellers, planned an initial new-hire class for later in November, and recruited senior sales leaders from Salesforce and Snap. The company framed these steps as operational remediation without guaranteeing restored growth.

Multiple Law-Firm Investigations

On November 5, 2026, four law firms announced investigations into potential securities-law claims on behalf of MNTN investors: Glancy Prongay Wolke & Rotter, the Law Offices of Frank R. Cruz, Johnson Fistel, and Kehoe Law Firm. Notices appeared throughout the day, with Johnson Fistel issuing two notices in the morning, the Law Offices of Frank R. Cruz posting in the afternoon, and Glancy following shortly after.

The firms are examining whether MNTN adequately disclosed the effects of sales-organization and compensation changes on employee retention, customer acquisition, revenue growth, and growth prospects. These inquiries do not constitute findings of wrongdoing.

The combination of the missed quarter, reported sales-force attrition, and clustered law-firm probes has increased near-term uncertainty about customer acquisition and the company’s ability to meet its revised guidance.
