The complaint alleges that starting around 2018, Amazon altered its sponsored-ad auctions by inserting its own bid, called a soft reserve, above the runner-up bidder. This tactic raised the final price advertisers paid without their knowledge. The practice began on popular shopping days and continued over roughly seven years.

In recent years, the FTC says Amazon intervened in auctions 70% to 80% of the time to increase minimum prices. This reportedly pushed pay-per-click costs up by about 50% on major shopping days. The complaint also claims Amazon ad executives tracked the additional surcharge generated by these interventions and sought to limit awareness of the practice within the company.

Legal Scope and Business Implications

The FTC, joined by a bipartisan coalition of state attorneys general from Arizona, California, Florida, Illinois, Indiana, Kentucky, Nebraska, New Jersey, New York, Pennsylvania, Rhode Island, South Carolina, Vermont, and Washington, filed the lawsuit in federal court in Seattle. The agency accuses Amazon of illegally obtaining the figure cited from advertisers through these pricing practices.

The alleged manipulation spans roughly seven years, beginning around 2018. Analysts say that if courts uphold the claims, Amazon could face civil fines in the billions. Enforcement-driven changes to reserve pricing or auction mechanics could also affect advertising revenue beyond any one-time penalties, potentially pressuring Amazon’s near-term stock sentiment.

The FTC’s technology enforcement page documents prior actions involving Amazon’s consumer-facing practices, including cases addressing Prime enrollment and cancellation. While distinct from advertiser pricing, these cases reflect the agency’s ongoing scrutiny of platform interface and disclosure practices.
