Eli Lilly and Company said in a joint press release on Aug. 31, 2026, it will acquire Merida Biosciences, adding a precision antibody-degradation platform and MER511, whose Phase 1 data showed robust reductions in pathogenic thyroid-stimulating antibodies and a favorable initial safety profile.

Deal Terms and Strategic Rationale

Lilly agreed to acquire Merida Biosciences under a definitive agreement, with total potential consideration of up to $2.875 billion in cash. The payment includes an undisclosed upfront amount plus contingent milestone payments tied to future clinical and commercial outcomes. The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including regulatory approvals.

Merida, a privately held biotechnology company based in Cambridge, Massachusetts, develops precision therapeutics for serious autoimmune and allergic diseases. Lilly will integrate Merida’s antibody-engineering platform, designed to enable precise, durable removal of disease-causing antibodies while preserving normal immune function, into its research and development portfolio.

Merida’s lead investigational asset, MER511, is in Phase 1 clinical development for Graves’ disease and thyroid eye disease. Initial data showed robust reductions in pathogenic thyroid-stimulating antibodies and a favorable safety profile. The company also has preclinical programs, including MER769, targeting allergic diseases such as food allergy, asthma, and chronic spontaneous urticaria.

Lilly described the acquisition as strengthening its immunology capabilities and expanding its opportunity to improve care for immune-mediated conditions. Industry commentary frames the deal as part of Lilly’s broader effort to diversify beyond obesity and diabetes and build a growth platform in immune-related and allergic diseases.

The acquisition adds a precision therapeutic approach to Lilly’s existing immunology pipeline and provides optionality across multiple indications if MER511 and related programs advance. The milestone-based payment structure links future consideration to clinical development and commercial success.
