Anthropic, PBC (proposed ticker ANT) said in an amended Form S‑1 filed with the SEC on Nov. 2, 2026, that third-quarter results showed a dramatic revenue increase. The filing also disclosed vast compute and infrastructure commitments that imply substantial future cash requirements ahead of the proposed Nasdaq listing.

Third-Quarter Results and Financial Performance

The amended Form S‑1 showed Anthropic revenue of $16.96 billion for the three months ended Sept. 30, 2026, up 1,127% from $1.38 billion a year earlier and about 47% from the second quarter’s $11.56 billion. For the nine months ended Sept. 30, 2026, revenue reached $33.24 billion, compared with roughly $2.5 billion in the same period of 2025.

The filing reported a third-quarter net loss of $23.29 billion, compared with a $12.14 billion net loss in the third quarter of 2025 and a $66.3 billion loss in the second quarter of 2026. For the nine months ended Sept. 30, 2026, Anthropic recorded a cumulative net loss of $104 billion, mostly due to a noncash fair-value accounting charge tied to convertible notes, derivatives, and other financing instruments.

On an operating basis, the company reported a $567 million loss in the third quarter, compared with operating income of $974 million in the prior quarter. Separately, adjusted operating income was about $2.5 billion for the quarter, with an adjusted operating margin near 15%. These adjusted figures are non-GAAP and the filing did not provide a full reconciliation to the GAAP operating loss.

Compute and Infrastructure Commitments

The amended Form S‑1 disclosed approximately $895.4 billion in aggregate purchase and lease commitments, substantially all related to compute and infrastructure. About $447.5 billion of these commitments are expected to be incurred by the end of 2030, with the remainder scheduled between 2031 and 2045. Nearly $70 billion was due within 12 months following Sept. 30, 2026.

Compute and infrastructure costs totaled about $9.86 billion in the quarter, up from $2.05 billion a year earlier. The filing noted that roughly $5 billion of compute capacity acquired through short-term commitments contributed to the quarterly operating loss because this capacity currently costs significantly more than multiyear contracted capacity.

Personnel expenses reportedly exceeded $322,000 per employee in the latest quarter, with a workforce of roughly 5,300, highlighting a high-cost labor base alongside the large spending commitments.

IPO Listing Details and Outlook

The amended filing identified the Nasdaq Global Select Market as the intended exchange and proposed “ANT” as the ticker for Class A common stock. It did not disclose an offering size, price range, or number of shares to be sold. The combination of rapid revenue growth and the scale and timing of contractual commitments implies substantial future cash needs ahead of the IPO.
