SK hynix said on Oct. 23, 2026, that Solidigm had discontinued its review of potential pre-IPO fundraising and a U.S. initial public offering, halting the SK hynix Solidigm IPO amid capital-market weakness while reaffirming Solidigm’s unchanged investment needs.
Solidigm Halts IPO Review Amid Capital-Market Weakness
SK hynix said in a company statement that Solidigm had stopped evaluating pre-IPO fundraising and a U.S. IPO, citing recent capital-market conditions and share-price trends. The company said executives needed to reassess whether an IPO remained the most beneficial financing route for SK hynix and existing shareholders.
Solidigm, SK hynix’s U.S. subsidiary focused on NAND flash memory and solid-state drives acquired from Intel, had been exploring financing to support a planned semiconductor fabrication facility and expand capacity for expected AI-driven memory demand. The company described its existing U.S. production capacity as limited.
The statement said the decision did not affect Solidigm’s growth prospects or investment needs. SK hynix will continue to evaluate investment timing, scale, and financing methods but did not disclose revenue, earnings, capital-expenditure, or production forecasts tied to Solidigm. The company also provided no transaction timetable, financing amount, termination fee, or replacement financing plan.
SK hynix noted that an IPO could have eased near-term investment burdens and created flexibility to return cash to shareholders through dividends, share buybacks, and share cancellations. By pausing the IPO review, the company left open how it will sequence funding and capital-allocation decisions while pursuing Solidigm’s expansion.
Regulatory and Financing Context Surrounding the IPO Pause
South Korean financial authorities told lawmakers on Oct. 22 that the proposed overseas listing would fall under dual-listing guidelines requiring five shareholder-protection obligations: shareholder-impact assessment, protection measures, investor communications, board approval or rejection, and appropriate disclosure. Officials said these rules apply to both overseas and domestic subsidiary listings. Solidigm had not formally announced a listing.
Regulatory accounts described scrutiny and obligations around the cross-border flotation but did not indicate that any regulator had formally prohibited, rejected, or penalized the transaction.
Reports estimated potential proceeds at $15 billion and Solidigm’s valuation at $150 billion, but SK hynix did not confirm those figures. The company said it will continue to evaluate investment timing, scale, and financing methods as it considers alternatives to an IPO, without identifying a selected alternative.
“Solidigm will halt its review of potential pre-IPO and IPO options,” the company said in its statement. “This decision does not reflect any change in Solidigm’s growth prospects or investment needs.”
