Deal Terms, Approvals, and Strategic Rationale
Schneider Electric agreed to buy 100% of PTC’s share capital for $205 per share, valuing PTC’s equity at about $22.6 billion and implying an enterprise value near $23.7 billion. The offer represents a 42.3% premium to PTC’s prior closing price and a 46.1% premium to its 30-trading-day volume-weighted average price. Both companies’ boards unanimously approved the agreement, and PTC’s board resolved to recommend that shareholders approve the merger.
PTC, based in Boston, develops industrial software for complex product design, engineering, and data management. Schneider said the combination will create a scaled, open, and interoperable industrial-software and artificial-intelligence (AI) business by integrating PTC’s product-design and engineering software with Schneider’s energy and operations software. The companies described this as creating “the next level of Energy and Industrial Intelligence.”
Schneider projects about €250 million in annual run-rate cost synergies by the third year after closing and roughly €800 million in revenue synergies tied to the combined product set. This acquisition would be Schneider’s largest to date.
Financing and Shareholder Conditions
The transaction consideration to PTC shareholders is all cash. Schneider said the cash payment is initially secured by a fully committed bridge facility provided by Morgan Stanley and Société Générale. Additional reports indicate Schneider may finance the deal with up to €6 billion in equity issuance and as much as €17 billion in new debt.
PTC plans to file transaction-related materials with the Securities and Exchange Commission, including preliminary and definitive proxy statements on Schedule 14A. An investor-rights law firm announced an investigation into whether PTC and its board obtained a fair price and adequately disclosed information; this announcement is an advocacy release and not an independent finding.
The companies expect to complete the transaction by the third quarter of 2027, pending shareholder approval, regulatory clearances, and customary closing conditions.
