Reformation Inc. (REF) began trading on the New York Stock Exchange on 2026-07-30, opening at its $15 offer price in a muted debut. The offering generated roughly $211 million in gross proceeds, which the company plans to use primarily to reduce leverage.
Offering Terms and Use of Proceeds
The company set the public offering price at $15 per share for 14,062,500 common shares, including 9,478,821 newly issued shares and 4,583,679 sold by existing stockholders, according to a pricing release on 2026-07-29. The deal was priced at the bottom of a marketed $15–$17 range. Lead underwriters included J.P. Morgan, Morgan Stanley, Citigroup, and RBC Capital Markets, which hold an option to purchase an additional 2,109,375 shares. The offering is expected to close on 2026-07-31, subject to customary conditions.
Offering documents show the company intends to use about $117.2 million of the proceeds to repay term loans and roughly $8.5 million to fund an employee liquidity program through a synthetic secondary. The remainder will support general corporate purposes. Secondary commentary cites net proceeds of approximately $134.5 million after underwriting discounts and expenses. Proceeds from the primary issuance go to Reformation, while selling stockholders receive proceeds from their existing shares.
First-Day Trading and Valuation
Shares opened at the IPO price on the NYSE debut, with trading described as broadly muted. Market observers noted a roughly 1% uptick in the opening minutes, but the stock closed barely changed. The opening price implied a market capitalization near $886 million.
Backed by private equity firm Permira, Reformation is a sustainable womenswear brand based in Vernon, California. The offering’s conservative pricing implies an enterprise value of about 1.5 times expected 2027 sales, according to Renaissance Capital commentary. Deal materials cite roughly 34% annualized revenue growth since 2015 and about 30% growth in the first quarter of 2026. With proceeds aimed at deleveraging and supporting employee liquidity, the muted debut highlights the valuation investors are willing to assign and the company’s effort to strengthen its balance sheet.
