Collaboration Scope and Warrant Structure

The partnership aims to deploy customized silicon at scale for AI inference workloads across several product generations. Qualcomm plans to increase its internal use of AWS AI infrastructure, including Amazon Bedrock, to run electronic-design-automation (EDA) workloads and shorten chip design cycles. The company will apply its serializer/deserializer and optical digital-signal-processor technologies to build high-bandwidth, low-latency links across AI clusters and data-center networks.

An SEC filing disclosed that Qualcomm issued a warrant to an Amazon affiliate, granting the right to purchase up to 25 million shares of Qualcomm common stock at an exercise price of $161.26 per share. Vesting is tied to Amazon’s procurement of Qualcomm server chip products, with a procurement cap of $60 billion. Vesting occurs in tranches triggered by commercial milestones such as signing agreements, issuing binding purchase orders, and customer payments. An initial tranche covering 3.75 million shares vested immediately upon issuance, indicating significant initial orders.
