The Nestlé SA spin-off announced on July 23, 2026, moves the company’s Waters & Premium Beverages business into a joint venture with U.S. private-equity firm Platinum Equity. This transaction is part of a multiyear turnaround as Nestlé reported slightly stronger second-quarter sales.
Peranel Joint Venture Terms and Strategic Context
Nestlé will carve out its Waters & Premium Beverages business into a 50:50 joint venture with Platinum Equity, creating a new company called Peranel. Nestlé will sell half the unit while retaining the other half. Peranel will include more than 30 brands sold in roughly 120 countries, such as Perrier, S.Pellegrino, Acqua Panna, and Nestlé Pure Life. The business covers European and broader international bottled-water and premium-beverage operations.
The transaction values Peranel at about €4.9 billion (approximately $5.6 billion) on an enterprise-value basis. Nestlé expects to receive roughly €3.0 billion in cash proceeds at closing. The companies have signed an agreement to transfer the business into Peranel, with closing expected in the first half of 2027, subject to employee consultation processes and regulatory approvals.
The deal follows a sale process that began earlier in 2026, when Nestlé organizationally carved out the water operations and retained advisers to explore partnership or stake-sale options. Platinum Equity emerged as the sole remaining bidder after other financial investors withdrew. Executives described the transaction as a cash-recycling move within a broader portfolio overhaul aimed at pruning underperforming units and focusing resources on higher-margin categories. The cash proceeds should strengthen Nestlé’s cash generation and accelerate its turnaround.
Q2 Results and Turnaround Progress
Nestlé posted 3.7% organic sales growth in the second quarter of 2026, slightly above expectations. Real internal growth, reflecting volume and mix, contributed 1.8 percentage points, while pricing added 1.9 points. This built on 3.5% organic growth in the first quarter, when real internal growth contributed 1.2 points and pricing 2.3 points, signaling stronger underlying demand in the second quarter.
For the first half of 2026, organic growth totaled 3.6%, with real internal growth at 1.5% and pricing contributing 2.1%. The period benefited from stronger sales in emerging markets and higher consumer demand for coffee and pet food products. Despite improving volumes, first-half profitability remained under pressure from restructuring and turnaround-related costs.
Management tightened full-year 2026 organic-growth guidance to a range of 3% to 4% and reiterated expectations for an improvement in the operating margin compared with 16.1% in 2025. The outlook assumes continued volume recovery and moderating pricing contributions. The Peranel joint venture is expected to improve Nestlé’s cash generation and support portfolio focus on core categories such as coffee and pet food.
