Meta Platforms Inc. (META) announced on October 26, 2026, a $95 billion equity raise to finance AI infrastructure and personal superintelligence. The company launched an initial $35 billion offering and proposed an at-the-market program for nonvoting Class C shares.
Financing Structure and Timing
The initial offering includes $22.5 billion of Class A common stock sold through forward-sale agreements and $12.5 billion of mandatory-convertible preferred securities, represented by about 250 million depositary shares. Meta expects to receive cash from the forward-sale agreements only upon settlement, targeted by November 19, 2027. The preferred securities are scheduled to convert into common stock around August 15, 2029, unless converted earlier. The dividend rate and conversion ratio will be set at pricing.
Meta also proposed an at-the-market program for nonvoting Class C shares, allowing it to sell up to $60 billion of stock over time at prevailing market prices. Sales would begin after Class C shares start trading, expected in the first quarter of 2027. Final terms and timing had not been determined as of the announcement.
This structure stages proceeds and issuance across multiple milestones rather than an immediate single underwriting, with timing of cash inflows and share supply as key variables for near-term market impact and longer-term dilution.
Use of Proceeds and Capital Outlook
Meta said the proceeds will support investments in AI infrastructure, including data centers, cloud-computing capacity, and personal superintelligence development. The company reiterated its full-year 2026 capital-expenditure guidance of $135 billion to $145 billion, primarily reflecting rising AI and compute requirements.
The equity raise is intended to supplement operating cash flow, planned investment-grade debt issuance, and strategic partnerships as sources of capital for the buildout. Nvidia, AMD, and Broadcom indicated nonbinding interest in purchasing up to a combined $5 billion of Class A common stock, though these were not commitments.
