Marvell Technology, Inc. (NASDAQ: MRVL) is set to report fiscal second-quarter 2027 results after the U.S. market close on Aug. 27, 2026. The report will test demand for its data-connectivity products and clarify the accounting and vesting mechanics of the Google warrant disclosed in a recent SEC filing.
Guidance and Google Agreement Details
Marvell guided fiscal Q2 revenue to $2.7 billion, plus or minus 5%, implying about 35% year-over-year growth and an 11.7% sequential increase from the $2.418 billion reported in fiscal Q1. The company expects non-GAAP earnings per share of $0.93, plus or minus $0.05, and GAAP earnings of $0.37, plus or minus $0.05. Non-GAAP gross margin is forecast between 58.25% and 59.25%, with GAAP gross margin at 52.1% to 53.1%.
On Aug. 19, Marvell filed a Form 8-K disclosing a commercial agreement signed July 29 with Google LLC to develop “Custom Products” for Google’s tensor processing unit (TPU) ecosystem. The filing identifies target products including AI inference accelerators, storage controllers, network-interface controllers, memory-interface controllers, and near-memory compute.
The filing also reveals a stock warrant issued Aug. 18 granting Google the right to purchase up to 58,970,907 shares at an exercise price of $206.58 per share, exercisable through Aug. 18, 2033 (17:00 California time). The warrant’s vesting and eligible revenue definitions are linked to the commercial agreement, with a measurement period from Aug. 1, 2026, to Jan. 29, 2033. Purchases under the agreement are discretionary.
The warrant divides into a small time-based portion of about 1.36 million shares vesting quarterly over the first year and a large performance-based pool of roughly 57.6 million shares vesting in 240 equal tranches tied to $500 million increments of qualifying Custom Products revenue. Full performance vesting requires about $120 billion in cumulative qualifying revenue. Qualifying sales include purchases by Google, its affiliates, and certain third parties on Google’s behalf, limited to Custom Products under the agreement. General-purpose components do not count.
Full exercise of the warrant would represent a notional investment of approximately $12.2 billion and a single-digit percentage of Marvell’s outstanding shares. The warrant includes transfer restrictions and permits either cash or cashless exercise.
AI Demand and Accounting Implications
The warrant’s revenue measurement period begins Aug. 1, 2026, the last day of the quarter being reported, so most performance-based vesting lies beyond the current quarter. The small time-based vesting slice will begin quarterly vesting over the first year. As a result, the Q2 report is unlikely to show direct revenue impact from the warrant.
