Lockheed Martin said in a July 6, 2026, press release that it will acquire Ultra Maritime, aiming to strengthen its undersea and anti-submarine warfare (ASW) capabilities and expand exportable sonar and maritime systems for allied navies.

Deal Terms and Parties

Lockheed Martin (NYSE: LMT) signed a definitive agreement to buy Ultra Maritime from Cobham Ultra, an Advent International portfolio company, for $3.45 billion in cash. The transaction is subject to customary closing conditions and regulatory approvals. Lockheed announced the deal in a press release at 8:32 a.m. ET on July 6.

Strategic Rationale and Integration

Upon closing, Ultra Maritime will join Lockheed Martin’s Rotary and Mission Systems (RMS) business area. Lockheed said Ultra Maritime’s international footprint and exportable ASW products, including sonobuoys, towed sonar arrays, and hull-mounted sonar, will complement and expand its sonar solutions across next-generation maritime platforms.

Ultra Maritime develops mission-critical undersea systems such as sonar technologies, torpedo-defense systems, radar solutions, and autonomous maritime sensing platforms. These capabilities broaden Lockheed’s range of sonar and undersea defense offerings for allied navies.

The acquisition responds to rising global demand for undersea and anti-submarine capabilities. Lockheed positioned the deal as expanding its role in naval defense by integrating sensors, countermeasures, and autonomous maritime sensing into a more comprehensive ASW package.

Ultra Maritime is part of Cobham Ultra, formed after Advent International acquired Cobham in 2019 and combined it with Ultra Electronics following a 2022 takeover. Cobham Ultra described Ultra Maritime as a worldwide leader in next-generation undersea warfare solutions.

The deal adds a specialized undersea-capability builder to Lockheed’s RMS portfolio, enabling the company to offer a broader suite of ASW and undersea-defense solutions to allied naval customers once approvals are secured.
