SMFG Stake and Acquisition Readiness

Reports before 08:00 ET on March 24 said SMFG formed a team to prepare for a potential acquisition of Jefferies. The news triggered premarket trading activity in New York and Frankfurt. SMFG’s stake in Jefferies reached roughly 20.0% in September 2025, up from about 5.0% in 2021. Some reports identified Sumitomo Mitsui Banking Corp., an SMFG unit, as holding 4.5% and ranking as the third-largest shareholder.

Jefferies has recorded a year-to-date share decline of roughly 36.0% to 40.0%. The company holds $715 million in receivables tied to the First Brands bankruptcy and faces fallout from the collapse of Market Financial Solutions, including investor lawsuits alleging fraud in a related fund.

By market value, Jefferies was about $8.2 billion while SMFG was about $124.0 billion, highlighting the scale difference between the potential suitor and the U.S. investment bank.

Jefferies is scheduled to report first-quarter results on March 25, 2026. Investors will watch the release as a near-term catalyst for clarity on the holdings and exposures that have driven recent speculation.
