Intel Corp. (INTC) raised capital through an upsized equity offering on Aug. 11, 2026. The offering drew investor backing that market participants said signals confidence in its foundry strategy despite near-term earnings per share (EPS) dilution risk.
Deal Terms and Proceeds
Intel priced the upsized common-stock sale at $95 a share and sold 210,526,315 shares, generating $20.0 billion in gross proceeds. After underwriting discounts, commissions, and estimated offering expenses, net proceeds are expected to total approximately $19.7 billion. Underwriters received a 30-day option to purchase up to 31,578,947 additional shares at the offering price, which could increase total proceeds if exercised. J.P. Morgan, Goldman Sachs, Morgan Stanley, and Citigroup served as joint book-running managers for the underwritten public offering.
Foundry Strategy and Analyst Reaction
Intel said the proceeds will be used for general corporate purposes, including capital expenditures and working capital. The company linked the financing to long-term investments in artificial intelligence (AI) infrastructure, advanced packaging, and expanded foundry capacity. It highlighted growth areas such as physical AI, purpose-built silicon, advanced packaging, and external wafers as strategic priorities connected to the raise.
Secondary reports described the sale as intended to fund the build-out of Intel’s chip contract-manufacturing, or foundry, business, which management has emphasized as a multiyear investment focus. One large broker estimated near-term EPS dilution of about 4.0% to 5.0% but called the capital raise a leading indicator of management’s conviction in the foundry push. The broker maintained a Buy rating while lowering its price target to $145 from $160, noting that longer-term gains depend on customer wins and operating leverage at the foundry.
