Generac Holdings Inc. said in a Form 8-K on Sept. 16, 2026, that its deal with Amazon combines a long-term supply agreement for backup generators at Amazon data centers with an equity warrant. The filing links this package to expanded delivery visibility and contingent equity outcomes.

Deal Terms and Warrant Structure

Generac filed a Form 8-K reporting a Transaction Agreement and a separate long-term supply agreement with Amazon for backup generators. Initial deliveries under the supply agreement are expected to total approximately $2.4 billion in 2027 and 2028. These generators will provide backup power for Amazon data centers, including those supporting AI and cloud infrastructure.

Aggregate gross payments to Generac and its global affiliates under the broader relationship can reach up to $8 billion. The filing describes this figure as a ceiling rather than a firm order book.

Under the Transaction Agreement, Generac issued a warrant to Amazon.com NV Investment Holdings LLC, a wholly owned Amazon subsidiary, allowing it to acquire up to 1,693,745 shares of common stock. The exercise price is $200.9266 per share. Of these shares, 307,954 vested immediately, while the remainder will vest in multiple tranches contingent on cumulative payments received by Generac and its affiliates for backup generators, up to the $8 billion cap.

The warrant is exercisable through Sept. 16, 2033, and may be exercised in whole or in part via cash or cashless exercise. It includes anti-dilution adjustments to the exercise price and share amount and grants registration rights, with issuance expected to rely on the Section 4(a)(2) private-offering exemption under the U.S. Securities Act.

By tying vesting to commercial thresholds, the filing directly links potential share issuance and dilution to actual generator deliveries, aligning equity outcomes with sales performance. Secondary estimates value the full warrant at roughly $340 million, representing nearly 3% of Generac’s outstanding shares if fully exercised.
