Binance invested $100 million in Circle, Circle (CRCL) said in a press release on Sept. 22, 2026. The private placement closed Sept. 17, and the companies expanded a five-year commercial agreement to promote USDC expansion across emerging markets, aligning Binance’s economic interest with USDC balances on its platform.
Private Placement and Share Restrictions
Circle disclosed in an SEC Form 8-K filed Sept. 22 that Binance purchased 1,237,011 Class A common shares at $80.84 each in an unregistered private placement. The purchase price represented a 5% discount to Circle’s market price before closing. Binance agreed not to sell, transfer, or hedge the shares for up to two years from the closing date, subject to customary exceptions and provisions tied to early termination of the commercial agreement. Binance retains voting rights during this restriction period.
Five-Year USDC Commercial Agreement
Circle and Binance announced a new five-year commercial agreement to expand USDC access in emerging markets, replacing prior arrangements from November 2024 and August 2025. Binance committed to promoting, increasing awareness of, and integrating USDC across its platform, with particular focus on emerging markets.
Circle will provide infrastructure services supporting the holding and use of USDC and will pay Binance a monthly incentive fee tied to qualifying USDC balances held through Circle’s Modular Smart Contract Wallet. The companies did not disclose the fee percentage or other financial details.
USDC is a dollar-pegged stablecoin issued by Circle. The partnership combines Binance’s equity stake with a recurring commercial incentive, linking their economic interests to the scale of USDC balances on Binance’s platform rather than a publicly quantified circulation forecast. The company materials and SEC filing did not identify any government or regulatory approval conditions attached to the transaction or the commercial agreement.
