Berkshire Hathaway increased its stake in Bending Spoons, the company said on Oct. 14, 2026, announcing a private placement that will boost Berkshire’s ownership and provide capital to support acquisitions.

Bending Spoons Private Placement and Acquisition Strategy

Bending Spoons agreed to issue 10 million ordinary shares to Berkshire Hathaway at $33 per share in a private placement expected to raise about $330 million before expenses, according to a Form 6-K filing accepted by the Securities and Exchange Commission at 09:18:12 ET on Oct. 14, 2026. Completion of the placement would raise Berkshire’s total ownership to 4%, building on its $600 million investment in Bending Spoons’ July 2026 initial public offering.

The filing’s exhibit detailed that the shares will be issued without registration under the Securities Act, relying on Section 4(a)(2) and Rule 506 of Regulation D, with similar state-law exemptions. It also stated the shares cannot be offered or sold in the United States without registration or an applicable exemption.

Bending Spoons said it intends to use the net proceeds from the placement for general corporate purposes and to invest in new acquisitions. This aligns with the company’s buy-and-build strategy, which has involved acquiring digital-subscription and software businesses such as AOL, Evernote, and Vimeo. The fresh capital is expected to accelerate this acquisition-driven growth.

The private placement remains subject to customary closing conditions and is expected to close in the fourth quarter of 2026.

"Bending Spoons intends to use the net proceeds from the Private Placement for general corporate purposes and to invest in new acquisitions," the filing stated.
