ServiceNow, Inc. (NYSE: NOW) said on Dec. 23, 2025, that it will acquire Armis in an all-cash deal to expand its AI-driven cybersecurity offerings and extend protection across IT, operational-technology (OT), and medical-device environments.
Deal Terms and Strategic Context
Armis, an Israeli cybersecurity startup founded around 2016, will be acquired for $7.75 billion in cash. ServiceNow expects the transaction to close in the second half of 2026.
The company said the acquisition will broaden its Security, Risk, and OT portfolios in critical and fast-growing cybersecurity areas. It aims to create an AI-driven security control tower to unify security controls and responses across enterprise environments.
Chief Executive Bill McDermott said the deal will more than triple ServiceNow’s addressable market opportunity in cybersecurity. The purchase marks ServiceNow’s fourth acquisition in 2025 and reflects a broader enterprise-software trend of integrating AI capabilities into security products.
ServiceNow said the acquisition will deepen its coverage across IT and operational systems while accelerating its expansion into specialized fields such as medical-device security and critical infrastructure protection.
